We are happy to inform that today we have finalised the process of cross-border merger. We advised the acquiring company – a Polish company with limited liability operating in the property development industry – which merged with a company from Cyprus. As the result, the Polish company took over all the rights and obligations of the Cypriot company.

Our transaction team advised and coordinated the entire merger process for several months. We were responsible for preparing documents required by Polish and EU law, conducting proceedings before the Polish registry court, efficient circulation of documents and their translations. The cross-border aspect of the merger required particularly efficient coordination of announcements required by the law, actions undertaken by the management boards of the Polish and Cypriot companies as well as their partners, and the work of other advisers, including the Cypriot law firm.

The merger was recorded in the Polish register of entrepreneurs of the National Court Register on the last day of the calendar month, which will make it much easier for the acquiring company to take into account the effects of the merger.
