Provision of legal assistance with the process of investment, commercialisation and sale of a class A office building in Poznań. We provided legal assistance with the process of investment, commercialisation and subsequent sale of a class A office building offering approx. 14,000 m² of space, located in the centre of Poznań. The scope of works included legal assistance in obtaining necessary permits, entering into a contract with the general contractor, negotiating credit facility documents to provide funding for the project and servicing the construction process. All the documents had to take into account the need to transfer the real property to an SPV in order to separate the risk related to the project implementation from the other assets of the Client. Our works included also the assistance with commercialisation and preparation of the real estate for sale, including drafting and negotiating lease agreements. As part of the sale process, we participated in negotiations of the transaction terms, advised on due diligence carried out by the buyers, drafted and negotiated transaction documents, including a master-lease agreement. After the sale of the project (i.e. the SPV), we supported the Client with the supervision over the implementation of mutual obligations under the concluded agreements.
