Transformation of a ”Business Gazelle” laureate

On Friday, 1 October 2021, we completed the process of transforming Rawicom sp. z o.o. limited partnership into a joint-stock company.

 

Operating on the RES market since 2006, Rawicom is an innovative, eco-friendly company with Polish capital, based in Łabiszyn. With its dynamic development and innovative technological solutions, the company has won prestigious awards, including Business Gazelle 2020 – a prestigious ranking of the newspaper Puls Biznesu – ranking 1st in the Kujawsko-Pomorskie Voivodeship and 4th in Poland.

 

The dynamic development of the company is based on two foundations - photovoltaics and electromobility. The company runs an electric car charging network under the Revnet brand, providing charging points in car parks and basements of buildings (including shopping centres and hotels).

 

After the transformation the company will take advantage of the legal aspects of being a joint stock company, primarily the ease of raising capital by issuing shares or bonds. This type of transformation is an interesting option for entities which are considering large-scale business, would like to open to investors, or prepare for the pre-IPO phase. It has also some key advantages for individual investors and institutions: easy capital circulation (much easier than, for example, in a limited partnership), lack of responsibility of shareholders for the company's obligations, high transparency and complex control processes.

 

Our team, consisting of Przemysław Musioł, Kinga Nowak and Franciszek Horała, participated in this process at every stage. They were responsible for preparing the transformation plan, consulting and coordinating subsequent steps of the process, and finally for registering the transformation in the register of entrepreneurs within the National Court Register.

 

It was one of the first processes of transformation into a joint-stock company in Poland registered electronically by the Portal of Court Registers of the Ministry of Justice, which had been launched on 1 July 2021. This system allows to electronically exchange the content of notarial deeds between a notary, registry court and a law firm, and submit applications without the participation of the court's administration office. Although the new procedure has only been implemented recently and does not always work as intended, from our perspective of legal advisers and legal documentation flow coordinators, it is highly convenient, as it enables "contactless" contact with the court, with no need to send documents by post.
